These Terms of Service ("Terms") govern your access to and use of the TaskMagic platform, website, and related services (collectively, the "Service") provided by TaskMagic, Inc. ("TaskMagic," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

By creating an account, accessing, or using TaskMagic, you confirm that you are at least 18 years old and agree to comply with these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Subscription and Credits

4.1 Billing

TaskMagic offers subscription plans that may include a set number of automation credits. By subscribing, you authorize us to charge your payment method on a recurring basis at the applicable rate. All fees are stated in U.S. dollars unless otherwise specified.

4.2 Credits

Credits are consumed when automations run on the platform. Unused credits do not roll over between billing periods unless your plan explicitly states otherwise. Credit consumption varies based on the complexity and duration of your automations.

4.3 Refunds

Subscription fees are generally non-refundable. If you cancel your subscription, you will retain access to the Service through the end of your current billing period. We may offer refunds at our sole discretion on a case-by-case basis.

4.4 Price Changes

We may change our pricing at any time. If we change the pricing for your current subscription, we will notify you at least 30 days in advance and the new pricing will take effect at the start of your next billing period.

6.1 Our Property

TaskMagic, including its design, code, features, documentation, and branding, is owned by TaskMagic, Inc. and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

6.2 Your Content

You retain ownership of any content, data, or workflows you create using the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process Your Content for the following purposes:

This includes, without limitation, the prompts, instructions, and natural language inputs you provide to create automations. When we use Your Content to improve the Service, we take commercially reasonable steps to aggregate and de-identify it so that it is not attributable to you individually.

You may opt out of having your data used for training and improvement purposes by contacting us at support@taskmagic.com. Opting out will not affect your ability to use the Service.

If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use that feedback without restriction or compensation.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

TaskMagic automates interactions with third-party websites. We are not responsible for changes to those websites that may affect your automations, and we do not guarantee the availability or compatibility of any third-party service.

9. Limitation of Liability

To the maximum extent permitted by law, TaskMagic, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless TaskMagic, Inc. from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

You may terminate your account at any time by contacting us at support@taskmagic.com or through your account settings.

We may suspend or terminate your access to the Service at any time, with or without cause, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will remain in effect.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
